Scope of services
Pype is a cloud-based software platform (software as a service, SaaS) for social media management and digital collaboration.
Depending on the subscription, the following features are available, among others:
- scheduling and publishing social media posts
- media management
- file versioning
- team and role management
- file transfer via share links
- managing several workspaces
- integrations with third-party platforms (e.g. Meta, LinkedIn or TikTok)
The scope of services depends on the subscription taken out and on the product information published on pype.ch.
Registration
Registering creates a user account.
You undertake to
- provide truthful information;
- keep your access credentials secret;
- not misuse your account.
Subscriptions
Paid subscriptions renew automatically for the same contract period unless cancelled before it ends.
Cancellation is possible at any time with effect from the end of the current contract period.
When a paid subscription ends, the account may be downgraded to the current free version, where one is available.
Free version
Pype may change, restrict or discontinue free versions, trial versions or individual free features at any time.
There is no entitlement to the permanent provision of free services.
Prices and payment
The applicable prices follow exclusively from the price overview published on pype.ch.
Payment is generally made in advance using the payment methods offered by Pype.
Availability
Pype endeavours to keep the platform as available as possible.
Uninterrupted availability at all times is not guaranteed.
Planned maintenance and short technical interruptions may occur at any time.
Third parties
Many features rely on interfaces to third-party platforms.
Changes to or outages of platforms such as Meta, Instagram, Facebook, LinkedIn, TikTok or Google are outside our control.
As a rule, no claims against Pype arise from them.
Liability
To the extent permitted by law, Pype is liable solely for damage caused intentionally or through gross negligence.
In particular, Pype is not liable for:
- lost profit;
- indirect damage;
- outages of third-party platforms;
- loss of data;
- faulty publications;
- API changes;
- business interruption;
- cyber attacks;
- maintenance work.
The full liability provisions follow from these General Terms and Conditions.
Changes to the platform
Pype develops the platform continuously.
Features may be added, changed or removed.
There is no entitlement to the permanent retention of individual features.
Permanent discontinuation of the platform
Pype is entitled to discontinue operation of the platform permanently for economic, technical or legal reasons.
Services already paid for are then handled in accordance with these General Terms and Conditions.
Further claims for damages are excluded to the extent permitted by law.
Applicable law
Swiss law applies exclusively.
The place of jurisdiction is, to the extent permitted by law, the registered office of SOTA Cooperations GmbH.

By registering for or using Pype, you confirm that you have read, understood and accepted the full General Terms and Conditions.
1. Scope
1.1 These General Terms and Conditions (“Terms”) govern all legal relationships between the Pype brand, operated by SOTA Cooperations GmbH (hereinafter “Pype”, “we”, “us”) and all natural or legal persons (hereinafter “customer”, “user” or “you”) who use the Pype platform or individual services thereof.
These Terms apply to all present and future services of Pype, whether provided through
- pype.ch
- mobile applications
- desktop applications
- APIs
- integrations
- beta versions
- trial versions
- third-party systems
or in any other way.
1.2 Deviating terms and conditions of the customer do not apply, even if Pype does not expressly object to them.
Individual written agreements take precedence over these Terms only where this has been expressly agreed.
1.3 By registering a user account, using the platform or entering into a paid or free subscription, the user accepts these Terms in full.
1.4 Should individual provisions of these Terms be or become wholly or partly invalid or unenforceable, the validity of all remaining provisions remains unaffected.
The invalid provision is deemed replaced by one that comes as close as possible to the economic purpose of the original provision.

3. Description of services
3.1 Pype provides a cloud-based software-as-a-service (SaaS) platform.
The platform enables in particular:
- scheduling social media content
- media management
- file versioning
- collaboration within teams
- managing several workspaces
- approval processes
- file transfer via share links
- collaboration with external people
- integration with third-party platforms
- management of digital media
- further digital services.
3.2 The specific range of features follows exclusively from the scope of services offered on pype.ch at the relevant time.
Product descriptions, marketing materials, roadmaps, presentations or public statements expressly do not constitute warranted characteristics or binding promises of performance.
3.3 Pype develops the platform continuously.
The customer expressly acknowledges that features may be
- added,
- altered,
- adapted,
- restricted,
- replaced or
- removed entirely
provided that this does not defeat the essential purpose of the contract and mandatory law does not provide otherwise.
There is no entitlement to the retention of particular features.
3.4 Features labelled “Coming Soon”, “Preview”, “Early Access”, “Beta”, “Experimental” or similar are under development.
For such features Pype gives no warranty whatsoever as to
- availability,
- freedom from defects,
- completeness,
- stability,
- compatibility or
- future provision.
Pype is entitled at any time to adapt or discontinue these features entirely without prior notice.
3.5 Pype owes solely the provision of the platform within the agreed scope.
A particular economic result, a particular reach on social networks, a particular number of published posts, improved discoverability or a particular marketing outcome are expressly not owed.
3.6 Where Pype provides interfaces to third parties (in particular Meta, Instagram, Facebook, LinkedIn, TikTok, YouTube, Pinterest, Google, Dropbox, OneDrive or comparable services), it does so exclusively within the technical possibilities made available by those third parties.
Pype gives no warranty that such interfaces remain available at all times or continue to function unchanged.
Changes, restrictions or shutdowns by third parties are outside Pype's control and give rise to no claims against Pype.
4. Registration and user account
4.1 Registration
Use of certain platform features requires a user account.
By registering, the user confirms that all information provided is complete, truthful and current.
Pype is entitled to verify a user's identity at any time by appropriate means.
There is no entitlement to the creation or maintenance of a user account.
4.2 Minimum age
Registration is permitted only to natural persons of legal age and capacity and to legally represented legal entities.
Minors may use the platform only with the express consent of their legal guardian.
4.3 Company accounts
If a user registers on behalf of a company, association or other organisation, they expressly confirm that they are authorised to represent that organisation in a legally binding manner.
The registering user is liable to Pype for all damage arising from an unauthorised registration.
4.4 Access credentials
The user undertakes to keep their access credentials confidential and to protect them from access by unauthorised third parties.
In particular, the user undertakes to
- use secure passwords,
- update passwords regularly,
- not pass on access credentials,
- not use shared user accounts outside the features provided for this,
- report any suspicion of misuse to Pype without delay.
4.5 Responsibility for the user account
The user bears sole responsibility for all activity carried out through their user account.
This applies regardless of whether those actions were taken by the user themselves or by third parties.
Liability of Pype for misuse of the user account is excluded unless intentional or grossly negligent conduct on the part of Pype can be proven.
4.6 Multi-user access
A workspace may grant access to several authorised users.
The workspace owner remains responsible towards Pype at all times for
- all invited users,
- all content stored within the workspace,
- all publications made,
- all breaches of these Terms.
4.7 Security measures
Pype is entitled to introduce additional security measures, in particular
- two-factor authentication,
- proof of identity,
- login confirmations,
- security questions,
- automatic session termination,
- IP checks,
- device recognition.
The user undertakes to comply with these measures.
4.8 Suspension
Pype is entitled at any time to suspend user accounts or individual features temporarily or permanently, in particular where
- these Terms are breached,
- legal provisions are violated,
- misuse is suspected,
- security risks exist,
- unauthorised access is detected,
- payments are outstanding,
- official orders exist,
- third-party rights are infringed,
- use impairs the stability or security of the platform.
Prior warning is not required for this.
4.9 Deletion
The user may delete their user account at any time.
After deletion, stored data may be removed irrevocably, unless statutory retention obligations apply.
Pype is entitled to delete user accounts in full within a reasonable period after the contract ends.
There is no entitlement to the permanent storage of data.
5. Subscriptions, term and cancellation
5.1 Subscription model
Pype is generally offered under various paid or free subscriptions.
The current scope of services follows exclusively from the product descriptions published on the website.
5.2 Start of contract
The contract comes into existence upon successful registration or, at the latest, upon activation of a paid subscription.
Pype reserves the right to refuse registrations or orders without stating reasons.
5.3 Term
Unless agreed otherwise, paid subscriptions run monthly or annually.
At the end of each contract period the subscription renews automatically for the same term.
5.4 Cancellation
The subscription may be cancelled up to and including the last day of the current contract period.
Cancellation takes effect at the end of the current term.
Fees already paid are generally not refunded.
5.5 Price changes
Pype is entitled to adjust prices at any time for future contract periods.
Price changes are communicated to the customer within a reasonable period.
If no cancellation is made before the current contract period expires, the new prices are deemed accepted.
5.6 Late payment
If the customer is in default of payment, Pype is entitled to
- restrict access to the platform,
- disable individual features,
- suspend user accounts temporarily,
- withhold content,
- charge reminder fees,
- claim statutory default interest,
- initiate debt collection,
- terminate the contract without notice.
Further claims are expressly reserved.
5.7 Trial versions
Pype may offer free trial or beta versions.
There is no entitlement to a free trial period.
Pype may at any time
- end,
- extend,
- shorten,
- restrict or
- discontinue entirely
trial versions. When a trial version expires, access ends automatically or converts into a paid subscription where this has been expressly agreed.
5.8 No entitlement to a refund
Subscriptions already paid for are generally not refunded.
In particular, there is no entitlement to a refund in the event of
- non-use of the platform,
- partial use,
- changes to features,
- changes to the design,
- introduction of new features,
- removal of individual features,
- maintenance work,
- short system interruptions,
- suspension for breach of contract,
- cancellation by the customer before the end of the contract term.
Mandatory statutory refund claims are reserved.
5.9 Discontinuation of individual services
Pype is entitled to discontinue individual features or services at any time or to replace them with other features.
This gives the customer no claim to compensation, damages or a refund, provided that the essential usability of the platform as a whole is retained and mandatory law does not provide otherwise.
6. Prices and payment terms
6.1 Prices
The prices published on the website pype.ch at the time the contract is concluded apply exclusively.
All prices are in Swiss francs (CHF) unless stated otherwise.
Statutory value added tax is shown separately where it is owed.
6.2 Payment methods
Pype may offer various payment methods, in particular:
- credit cards
- debit cards
- TWINT
- Apple Pay
- Google Pay
- Stripe
- PayPal
- invoice
- further electronic means of payment
There is no entitlement to a particular payment method.
6.3 Due date
All fees are payable in advance.
As a rule, the entitlement to services arises only once payment has been received.
6.4 Payment service providers
Payment is processed in part through external payment service providers.
Their services are governed exclusively by their own contractual terms and privacy policies.
Pype is not liable for errors, delays or outages of payment service providers.
6.5 Default
If the customer is in default of payment, Pype is entitled to
- suspend all services,
- restrict user accounts,
- stop publications,
- make files temporarily inaccessible,
- charge reminder fees,
- claim statutory default interest,
- engage a debt collection agency,
- terminate the contract without notice.
The obligation to pay claims already incurred remains unaffected.
6.6 Set-off
The customer is not entitled to set off claims against Pype with claims of their own unless those have been established by a final court decision or expressly acknowledged by Pype.
6.7 Right of retention
A right of retention on the part of the customer is excluded to the extent permitted by law.
7. Obligations of the customer
7.1 Lawful use
The customer undertakes to use the platform exclusively within the applicable laws and these Terms.
7.2 Responsibility for content
The customer remains solely responsible for all content stored, uploaded, edited, scheduled, shared or published through Pype.
This applies in particular to
- images
- videos
- texts
- logos
- music
- trade marks
- documents
- comments
- hashtags
- metadata
- AI-generated content
Pype carries out no review of content.
7.3 Third-party rights
The customer warrants that they hold all rights required in the content used.
In particular the customer confirms that they
- comply with copyright,
- comply with trade mark law,
- comply with personality rights,
- comply with data protection law,
- hold the rights of use for music, images and videos.
The customer indemnifies Pype against all third-party claims.
7.4 Prohibited content
It is prohibited in particular to make available through Pype
- criminal content,
- glorification of violence,
- hate speech,
- discriminatory content,
- pornographic content,
- content harmful to minors,
- malware,
- malicious software,
- phishing,
- spam,
- fake accounts,
- unlawful advertising,
- fraudulent content,
- content infringing copyright,
- content infringing trade mark rights,
- content infringing personality rights,
- content breaching the platform policies of third parties.
7.5 API use
Where Pype provides application programming interfaces (APIs), the customer undertakes to
- use them exclusively in accordance with the documentation,
- carry out no automated attacks,
- circumvent no security mechanisms,
- generate no excessive server requests,
- undertake no reverse engineering.
7.6 Fair use
Pype reserves the right to monitor the resource consumption of individual customers.
In the event of unusually high use, Pype may take appropriate measures, in particular
- set limits,
- restrict uploads,
- reduce API access,
- limit storage space,
- charge additional fees,
- move the customer to a suitable subscription.
7.7 Access credentials
The customer undertakes to
- keep their access credentials secret,
- not use shared passwords,
- store passwords securely,
- report security incidents without delay.
7.8 Data backup
The customer remains responsible at all times for backing up their own data.
Pype expressly recommends additionally backing up all relevant content outside the platform.
Automatic backups by Pype create no entitlement to the recovery of lost data.
8. Rights of use and intellectual property
8.1 Ownership of the platform
All rights in the Pype platform remain exclusively with SOTA Cooperations GmbH or its licensors.
This covers in particular
- software
- source code
- user interfaces
- design
- logos
- trade marks
- icons
- databases
- workflows
- algorithms
- documentation
- APIs
- AI models
- graphics
- content of the website.
8.2 Trade mark rights
“Pype”, the Pype logo and all identifiers of the platform are protected by trade mark or copyright law.
Their use requires prior written consent.
8.3 The customer's right of use
For the duration of the contract, Pype grants the customer a simple, non-exclusive, non-transferable right of use in the platform, revocable at any time.
No transfer of ownership rights takes place.
8.4 Prohibited acts
The customer is prohibited in particular from
- copying software,
- analysing source code,
- carrying out reverse engineering,
- circumventing security mechanisms,
- using trade marks,
- producing automated copies of the platform,
- extracting databases,
- reselling parts of the platform,
- granting sub-licences.
8.5 Rights in customer data
All content uploaded by the customer remains the property of the customer or of the respective rights holder.
For the duration of the contractual relationship, however, the customer grants Pype a free, worldwide, non-exclusive right of use to the extent technically necessary in order to
- store content,
- process it,
- transmit it,
- generate previews,
- provide share links,
- create versions,
- create backups,
- display content within the platform.
As a rule, this right of use ends when the content in question is deleted, unless statutory retention obligations apply.
9. Availability, maintenance and support
9.1 Principle
Pype is operated as a cloud-based software platform (“software as a service”, SaaS).
The services are provided exclusively over the internet.
The customer is aware that the following prerequisites for using the platform are outside Pype's control:
- a working internet connection,
- suitable hardware,
- an up-to-date browser,
- supported operating systems,
- availability of external networks,
- availability of external platforms,
- availability of cloud infrastructure.
Pype accepts no responsibility for these.
9.2 No guaranteed availability
Pype endeavours to achieve the highest possible technical availability of the platform.
A particular level of availability (e.g. 99 %, 99.9 % or 100 %) is, however, expressly not owed unless agreed in a separate written service level agreement (“SLA”).
In particular, Pype gives no guarantee that
- the platform is reachable at all times,
- all features are available at all times,
- all integrations work at all times,
- content can be retrieved at all times,
- uploads are possible at all times,
- publications can be carried out at all times.
9.3 Maintenance
Pype is entitled at any time to carry out maintenance, security updates, system migrations or technical adjustments.
The platform may be temporarily unavailable in whole or in part as a result.
Where possible, planned maintenance is announced in advance.
Necessary security or emergency maintenance may take place at any time and without prior notice.
9.4 Updates
Pype develops the platform continuously.
The customer expressly agrees that
- user interfaces may be changed,
- features may be adapted,
- processes may be changed,
- workflows may be altered,
- settings may be moved,
- features may be replaced or removed.
There is no entitlement to the retention of a particular version.
9.5 Third parties
Pype works in part with external service providers and platforms.
These include in particular:
- Meta
- TikTok
- YouTube
- Dropbox
- Microsoft
- Apple
- Stripe
- TWINT
- further API providers.
Changes to these services are entirely outside Pype's control.
Where APIs are changed, restricted or discontinued, this does not constitute a defect in Pype's services.
9.6 Support
Pype endeavours to answer support enquiries within a reasonable period.
There is, however, no entitlement to
- a particular response time,
- a particular resolution time,
- telephone support,
- support outside the published support hours.
9.7 Beta features
Parts of the platform labelled beta, preview, experimental or early access serve testing purposes only.
These may in particular
- contain errors,
- alter data,
- be incomplete,
- be removed at short notice,
- be discontinued permanently.
They are used entirely at the customer's own risk.
10. Data storage and backup
10.1 Storage
Pype stores customer data solely for the purpose of performing the contract.
Storage takes place on servers of contracted hosting or cloud providers.
Pype is entitled to change hosting provider at any time, provided this creates no unreasonable disadvantage for the customer.
10.2 Backups
Pype may create backups regularly.
This gives the customer no claim whatsoever to
- recovery,
- reconstruction,
- archiving,
- permanent storage.
Backups serve internal system security only.
10.3 The customer's own responsibility
The customer remains obliged at all times to make their own backup copies of all data relevant to them.
This applies in particular to
- images,
- videos,
- documents,
- texts,
- social media posts,
- schedules,
- shares,
- comments,
- versions.
10.4 Data export
Where technically provided for, the customer may export their data.
Pype is not obliged, however, to
- provide a particular file format,
- create individual exports,
- retain historical versions permanently.
10.5 Deletion
After the contractual relationship ends, Pype is entitled to delete all customer data irrevocably once a reasonable period has elapsed, provided that
- no statutory retention obligations apply,
- no pending proceedings prevent it,
- no legitimate interests of Pype prevent it.
Before final deletion, it is the customer's responsibility to back up all data they need.
11. Warranty
11.1 The nature of software
The customer is aware that, given its complexity, software can never be developed entirely free of defects.
Pype therefore gives no warranty that the platform is at all times
- free of defects,
- free of interruption,
- complete,
- up to date,
- compatible or
- free of security vulnerabilities.
11.2 No guarantee of results
Pype owes solely the provision of the platform.
In particular, no warranty whatsoever is given for
- economic success,
- increased revenue,
- increased reach,
- marketing results,
- SEO results,
- social media results,
- algorithm changes at external platforms,
- visibility of posts,
- number of likes,
- number of comments,
- number of followers,
- number of leads,
- number of sales.
11.3 Range of features
Product descriptions, screenshots, videos, presentations, roadmaps or marketing materials serve information purposes only.
They do not constitute warranted characteristics of the platform.
11.4 Remedying defects
Pype will prioritise reported defects at its own discretion and remedy them where possible.
There is no entitlement to immediate remedy.
12. Liability
12.1 Principle
To the extent permitted by law, Pype is liable solely for damage caused by intentional or grossly negligent conduct on the part of Pype.
Any further liability is expressly excluded to the extent permitted by law.
In particular, liability for slight negligence is excluded unless mandatory law provides otherwise.
12.2 No liability for results
Pype owes solely the provision of the agreed software services.
In particular, Pype is not liable for
- economic results,
- increased revenue,
- marketing results,
- reach,
- visibility of posts,
- search engine rankings,
- social media performance,
- customer acquisition,
- advertising results,
- lead generation,
- conversion rates,
- algorithm changes at external platforms,
- changes to third-party policies.
12.3 Outages
Pype is not liable for damage resulting from
- server outages,
- maintenance work,
- internet disruptions,
- power failures,
- DNS problems,
- routing errors,
- cloud outages,
- hardware defects,
- software errors,
- cyber attacks,
- DDoS attacks,
- security incidents,
- viruses,
- malware,
- ransomware,
- hacking attacks,
- outages of third parties,
- outages of API interfaces,
- changes to external platforms,
- force majeure,
to the extent that these circumstances lie outside Pype's immediate control or could not be prevented despite the exercise of due care.
12.4 Third parties
Pype is not liable for the acts or omissions of third parties.
This applies in particular to
- Meta,
- Facebook,
- Instagram,
- LinkedIn,
- TikTok,
- YouTube,
- Google,
- Microsoft,
- Apple,
- Dropbox,
- Stripe,
- TWINT,
- hosting providers,
- CDN providers,
- payment service providers,
- internet providers,
- AI service providers,
- cloud providers.
Changes to, restrictions on or discontinuation of such services give rise to no liability claims against Pype.
12.5 User content
Pype accepts no responsibility whatsoever for content stored, edited, published or shared by customers or invited users.
The customer alone is liable for the lawfulness of all content.
Pype is not obliged to review content before it is published or stored.
12.6 Loss of data
Although Pype applies appropriate technical and organisational security measures, complete protection against loss of data cannot be guaranteed.
Pype is therefore not liable for
- loss of files,
- loss of images,
- loss of videos,
- loss of documents,
- loss of social media schedules,
- loss of versions,
- loss of comments,
- loss of shares,
- corrupted data,
- faulty synchronisation,
- accidental deletion,
unless the damage is based on intentional or grossly negligent conduct on the part of Pype.
The customer remains obliged to make their own backup copies of their data.
12.7 Publication of content
Pype is not liable for
- delayed publications,
- duplicate publications,
- failed publications,
- faulty publications,
- truncated posts,
- formatting errors,
- image errors,
- API problems,
- restrictions imposed by external platforms.
The customer remains obliged to check published content themselves.
12.8 Indirect damage
To the extent permitted by law, Pype is not liable for indirect or consequential damage.
This covers in particular
- lost profit,
- loss of revenue,
- loss of production,
- damage to reputation,
- loss of image,
- loss of data,
- consequential damage,
- third-party claims,
- lost business opportunities,
- business interruption,
- loss of use,
- loss of goodwill.
12.9 Liability towards third parties
If third parties raise claims against Pype on account of the customer's acts or content, the customer undertakes to indemnify Pype in full on first demand.
This covers in particular
- court proceedings,
- legal fees,
- administrative proceedings,
- settlement costs,
- claims for damages,
- licence claims,
- copyright claims,
- trade mark infringements,
- data protection breaches.
12.10 Maximum liability
To the extent permitted by law, Pype's entire liability arising out of or in connection with the contractual relationship — irrespective of the legal basis — is limited to the amount of the subscription fees actually paid by the customer in the twelve months preceding the event giving rise to the damage.
If the customer has paid no fees during that period, liability is limited — to the extent permitted by law — to CHF 100.
This limitation does not apply in cases of intent, gross negligence or mandatory statutory liability.
12.11 No warranty
To the extent permitted by law, all services of Pype are provided “as is” and “as available”.
Pype gives no express or implied warranties as to
- merchantability,
- fitness for a particular purpose,
- uninterrupted availability,
- freedom from defects,
- compatibility,
- security,
- completeness,
- currency.
12.12 Limitation period
To the extent permitted by law, claims of the customer against Pype lapse one year after the customer becomes aware of the circumstances giving rise to the claim, and in any event within the absolute statutory limitation period.
13. Force majeure
13.1 Pype is not liable for the non-performance or delayed performance of contractual obligations to the extent that this is attributable to events of force majeure.
Force majeure includes in particular
- natural disasters,
- earthquakes,
- floods,
- fire,
- pandemics,
- epidemics,
- war,
- terrorism,
- cyber attacks of significant scale,
- official measures,
- strikes,
- power failures,
- outages of telecommunications networks,
- interruptions to international supply chains,
- outages of essential cloud infrastructure.
13.2 For the duration of an event of force majeure, Pype's obligations to perform are suspended.
Claims of the customer for damages, refunds or compensation are excluded for that period to the extent permitted by law.
14. Termination of the contract
14.1 Ordinary termination
Unless a differing written agreement exists, the customer may cancel their subscription at any time, observing the applicable notice period, with effect from the end of the current contract period.
Cancellation is made through the features provided for this within the platform or in writing to the contact address published by Pype.
14.2 Extraordinary termination
Pype is entitled to terminate the contract with immediate effect or to suspend access to the platform in whole or in part where in particular
- the customer breaches these Terms;
- legal provisions are violated;
- payments remain outstanding despite a reminder;
- there is misuse or suspicion of fraud;
- third-party rights are infringed;
- the security or stability of the platform is endangered;
- official or judicial orders require it.
A prior warning is not required where this cannot reasonably be expected in the circumstances.
14.3 Consequences of termination
On termination of the contract, the customer's right to use the platform ends.
Pype is entitled to
- deactivate user accounts,
- block API access,
- deactivate share links,
- delete stored content once a reasonable period has elapsed,
- withdraw access rights.
Payment claims already incurred remain unaffected.
14.4 No entitlement to a refund
Termination of the contract — irrespective of the reason for it — generally gives no entitlement to a refund of fees already paid.
Mandatory statutory refund claims are excepted from this.
15. Notices
15.1 To the extent permitted by law, all notices between Pype and the customer may be given in electronic form.
Electronic notices include in particular:
- emails
- notices within the platform
- notifications in the user account
- notices shown at login
- system messages
- notices on the website
Electronic notices are deemed delivered as soon as they can be retrieved within the recipient's sphere of control.
15.2 The customer is obliged to keep the email address and other contact details held by Pype up to date at all times.
Disadvantages arising from incorrect or outdated contact details are borne solely by the customer.
16. Changes to the platform and the services
Pype develops its platform continuously.
Pype is entitled at any time to
- add features,
- adapt features,
- remove features,
- change user interfaces,
- add or discontinue integrations,
- replace technical systems,
- optimise processes,
- adjust storage limits,
- extend security measures.
As a rule this gives the customer no claim to damages, a refund or compensation, provided the essential purpose of the contract continues to be met and mandatory law does not provide otherwise.
17. Permanent discontinuation of the platform
17.1 Pype is entitled to discontinue operation of the platform or of individual services permanently, in whole or in part, at any time, where economic, technical, legal or operational reasons exist for doing so.
There is expressly no entitlement to the permanent operation of the platform.
17.2 Where possible, Pype informs registered customers within a reasonable period before the final discontinuation of the platform.
There is, however, no entitlement to a particular period of notice.
17.3 In connection with the discontinuation of the platform, Pype is entitled to deactivate user accounts, delete data and discontinue all services, unless statutory retention obligations or mandatory statutory provisions prevent this.
The customer is obliged to export and back up their data themselves in good time before the discontinuation.
17.4 If Pype can no longer provide a contractual service already paid for, because the platform is finally discontinued during the agreed contract term, a reasonable pro-rata refund of the subscription fees paid in advance for the period not served is made where this is required by law.
Further claims of the customer, in particular for damages, lost profit, business interruption, data migration, replacement procurement or other indirect or consequential damage, are excluded to the extent permitted by law.
17.5 Free services and free versions
Pype is entitled at any time and without stating reasons to restrict, change, suspend or permanently discontinue free services, trial versions, free versions or individual free features, in whole or in part.
There is no entitlement to the permanent provision of a free version or of individual free features.
In particular, the discontinuation of a free version or of free features gives no entitlement to
- continued free use;
- replacement or provision of equivalent services;
- compensation;
- damages;
- a refund;
- data migration;
- recovery or permanent storage of data.
Pype is entitled at any time to make the use of free services subject to additional conditions or to offer them in future only within paid subscriptions.
Registered users are informed of the permanent discontinuation of free services where this is reasonable in the circumstances and technically possible. There is, however, no entitlement to a particular period of notice.
18. Changes to these General Terms and Conditions
Pype is entitled to amend or supplement these General Terms and Conditions at any time.
The current version is published on pype.ch.
Registered customers are informed of material changes in an appropriate manner.
If the customer continues to use the platform after the amended Terms take effect, or does not object to the changes within a reasonable period, the changes are deemed accepted, to the extent such deemed acceptance is permitted by law.
Mandatory statutory provisions are reserved.
19. Severability
Should individual provisions of these General Terms and Conditions be or become wholly or partly invalid, unenforceable or void, the validity of the remaining provisions remains unaffected.
The invalid or unenforceable provision is replaced by a legally permissible arrangement that comes as close as possible to the economic purpose of the original provision.
The same applies to any gaps in these Terms.
20. Applicable law
These General Terms and Conditions and all legal relationships between Pype and the customer are governed exclusively by substantive Swiss law.
The provisions of private international law and the United Nations Convention on Contracts for the International Sale of Goods (CISG) do not apply.
Mandatory consumer protection provisions are reserved.
21. Place of jurisdiction
To the extent permitted by law, the courts having subject-matter jurisdiction at the registered office of SOTA Cooperations GmbH have exclusive jurisdiction over all disputes arising out of or in connection with these General Terms and Conditions.
Pype remains entitled to bring claims at the customer's domicile or registered office or before any other court having jurisdiction by law.

23. Entry into force
These General Terms and Conditions take effect upon publication on pype.ch and replace all earlier versions.
